  • This Agreement outlines the partnership between Class2Learn and the Instructor.
  • Class2Learn is an online learning platform providing high-quality educational content and training programs to students worldwide.
  • By partnering with Class2Learn, both parties agree to collaborate in delivering, managing, and promoting courses through the platform.

  1. Course Delivery & Management

    The Instructor will provide all course materials, including videos, content, and resources. Class2Learn will host, list, and promote these courses across its platform and associated channels. The Instructor grants Class2Learn the right to market, distribute, and provide access to these courses to students. Courses remain licensed, not sold. Class2Learn will handle student support, platform management, and certifications.

  2. Course Pricing

    Class2Learn reserves the right to set course pricing, including discounts, promotions, and offers to maximize reach and engagement.

  3. Revenue & Profit Sharing

    Revenue is calculated based on course sales (excluding taxes). Operational costs will not exceed 35% of the revenue.
    The remaining profit is shared equally: 50% to the Instructor and 50% to Class2Learn.

  4. Payments

    Instructor earnings are paid monthly, subject to payment collection from platform partners and affiliates.
    Minimum payout threshold: £10 Payments are carried forward if the threshold is not met.

  5. Refund Policy

    Students may request refunds as per platform policy.
    Refunded transactions will not generate earnings and may be adjusted in future payouts.

  6. Taxes

    Class2Learn handles applicable sales taxes and VAT.
    Instructors are responsible for their own income-related taxes.

  7. Student Relationship

    All students are enrolled under Class2Learn.
    The platform manages student communication, support, and certification processes.

  8. Instructor Responsibilities

    The Instructor agrees to:

    • Provide accurate, high-quality course content
    • Ensure all materials are legally owned or licensed
    • Avoid inappropriate, illegal, or offensive content
    • Respect intellectual property rights
    • Not misuse the platform for unrelated activities
    • Maintain platform integrity and security

  9. Intellectual Property

    The Instructor retains ownership of their content.
    Class2Learn is granted rights to host, promote, and distribute the courses during the agreement period.

  10. Representations & Compliance

    Both parties agree to operate legally, ethically, and professionally, complying with all applicable laws and standards.

  11. Confidentiality

    Both parties will protect all confidential business, technical, and user-related information and will not disclose it without consent.

  12. Indemnification

    Each party agrees to protect and compensate the other against any claims or damages arising from breaches of this agreement.

  13. Term & Termination

    • Initial term: 1 year, auto-renewable
    • Either party may terminate with 30 days written notice
    • Existing students will retain access to purchased courses

  14. General Terms

    • Both parties act as independent entities
    • Any changes to this agreement must be in writing
    • Liability is limited to payments made under this agreement
    • If any part of the agreement is invalid, the rest remains enforceable

  15. Final Understanding

    This Agreement represents the complete understanding between Class2Learn and the Instructor, ensuring a transparent, fair, and professional partnership.
